IDEX CORPORATION ANNOUNCES THE PRICING OF
THE PRIMARY AND SECONDARY COMMON STOCK OFFERING
NORTHBROOK, Ill., April 29, 2002
-- IDEX Corporation (NYSE: IEX) today announced
the pricing of the public offering of 5,000,000
shares of IDEX common stock at a price of $36.00
per share pursuant to an effective registration
statement on Form S-3, registration No. 333-84036.
Of these shares of common stock offered, IDEX
is issuing and selling 1,500,000 primary shares,
IDEX Associates, L.P. is selling 2,939,199 secondary
shares, and KKR Associates, L.P. is selling
560,801 secondary shares. KKR Associates is
the general partner of IDEX Associates.
Merrill Lynch & Co. is serving as lead
underwriter for the offering, with Credit Suisse
First Boston serving as co-lead underwriter,
and Robert W. Baird & Co., Banc of America
Securities LLC, and Bear, Stearns & Co.
Inc. acting as co-managing underwriters. The
net proceeds to IDEX from the offering will
be used to repay indebtedness under its revolving
credit facility, thereby increasing the amount
available for borrowing under the facility,
which the company intends to use for general
corporate purposes, including the funding of
acquisitions.
