AMPHENOL ANNOUNCES SECONDARY OFFERING OF COMMON
STOCK
Wallingford, Connecticut, September
8, 2004 - Amphenol Corporation (NYSE-APH)
today announced a public offering of approximately
6.7 million shares of Class A common stock pursuant
to its currently effective shelf registration
statement. All of the approximately 6.7 million
shares are offered by affiliates of Kohlberg
Kravis Roberts & Co. (“KKR”).
Citigroup Global Markets Inc. is the sole book-running
manager for the offering.
